INTERNET SUBSCRIPTION CONTRACT
This Internet Subscription Contract (the "Contract") is entered into by and between CT Net lines, a department of CT Inc Group, (the "Provider") and [Client Name] (the "Client").- SERVICES TO BE PROVIDED: The Provider shall provide the Client with broadband internet services in Buea. The Client acknowledges that there may be times when there may be slight internet disruptions due to fiber breakdowns, natural disasters, or circumstances beyond the control of the Provider.
- EQUIPMENT: The Client is responsible for all equipment at their premises, including but not limited to, computers, routers, modems, and any other equipment necessary for the provision of the internet services.
- PAYMENT: The Client shall pay the Provider the sum of [Amount] for the internet services provided per month. The payment shall be made on the [Due Date] of each month. In the event that the Client fails to pay the amount due, the Provider may suspend or terminate the internet services without notice.
- TERM: This Contract shall be effective from the date of signing and shall remain in effect for a period of [Duration]. The Contract shall automatically renew for successive terms of [Duration] each, unless either party gives written notice of termination at least [Notice Period] days prior to the expiration of the then-current term.
- LIMITATION OF LIABILITY: The Client acknowledges that the internet services provided by the Provider may be subject to interruption, delays, and other problems inherent in the use of the internet and electronic communications. The Provider shall not be liable for any damages arising from such interruptions or delays.
- INDEMNIFICATION: The Client agrees to indemnify and hold harmless the Provider, its officers, directors, employees, and agents, from and against any and all claims, damages, expenses, or liabilities arising out of the Client's use of the internet services.
- FORCE MAJEURE: The Provider shall not be liable for any failure to perform its obligations under this Contract if such failure is caused by events beyond its reasonable control, including but not limited to, acts of God, war, terrorism, labor disputes, and government regulations.
- GOVERNING LAW: This Contract shall be governed by and construed in accordance with the laws of the Republic of Cameroon.
- ENTIRE AGREEMENT: This Contract constitutes the entire agreement between the parties and supersedes all prior negotiations, understandings, and agreements between the parties.
- SERVICE LEVEL AGREEMENT: The Provider shall use commercially reasonable efforts to ensure that the internet services provided to the Client meet the performance standards set forth in the Service Level Agreement (SLA). The SLA shall be attached to this Contract as Exhibit A and shall be subject to change by the Provider from time to time.
- SECURITY AND PRIVACY: The Provider shall take commercially reasonable measures to protect the security and privacy of the Client's data transmitted over the internet services. However, the Provider shall not be liable for any damages arising from unauthorized access or use of the Client's data, unless such access or use was caused by the Provider's negligence or willful misconduct.
- SUSPENSION OR TERMINATION: The Provider may suspend or terminate the internet services immediately if the Client breaches any material term of this Contract, including but not limited to, failure to pay the amount due, or if the Provider determines that the Client is using the internet services in violation of any laws or regulations.
- INTELLECTUAL PROPERTY: The Client acknowledges that the internet services, including but not limited to, software, hardware, and technology, are the exclusive property of the Provider or its licensors. The Client shall not copy, modify, distribute, or use the internet services for any purpose other than as expressly permitted by this Contract.
- CONFIDENTIALITY: The parties agree to keep the terms of this Contract confidential and shall not disclose any information regarding this Contract to any third party without the other party's prior written consent.
- DISCLAIMER OF WARRANTIES: The Provider makes no warranties, express or implied, regarding the internet services provided hereunder, including but not limited to, warranties of merchantability, fitness for a particular purpose, or non-infringement.
- LIMITATION OF LIABILITY: The Provider shall not be liable for any indirect, incidental, special, or consequential damages arising out of or in connection with this Contract, including but not limited to, loss of profits, loss of data, or interruption of business, regardless of whether such damages were foreseeable or not.
- NOTICES: Any notice required or permitted to be given under this Contract shall be in writing and shall be deemed to have been received when delivered personally, or three (3) days after being deposited in the mail, postage prepaid, addressed to the party at the address set forth below:
